Motorola to Acquire CRISNET

Purchase Will Enhance Public Safety Software Portfolio

SCHAUMBURG, IIl., 04 November 2004 — Motorola (NYSE:MOT) has signed a definitive agreement to acquire CRISNET, Inc., a privately-held, leading developer of advanced records management and related systems for criminal justice and public safety customers.

The acquisition, which is subject to CRISNET’s shareholder approvals and other customary closing conditions, is expected to close this year. Additional financial terms of the agreement have not been disclosed.

Headquartered in Salt Lake City, Utah, CRISNET has developed software applications for law enforcement, justice and public safety agencies since 1984. Among the company’s well-known applications is CRISNET Records Management System, or NetRMS™, a web-based records management system accessible using a secure browser-based network connection. CRISNET Cruiser®, used in tandem with NetRMS, enables personnel in the field to work case and incidents files from a mobile unit. Its patented ActivePaper® application enables personnel to gather, view, print, manage and store complex information across networks and computer systems.

CRISNET software applications also are used for tasks ranging from automating department workflow to analysis of community crime patterns. The company provides a broad range of professional services including application usability, crime analysis and investigative assistance.

"CRISNET’s dedication to innovation and providing law enforcement and public safety communities with the highest quality service, software, support and training for the past two decades highly complements Motorola’s long-standing leadership position in wireless public safety applications,” said Greg Brown, president of Motorola’s Commercial, Government and Industrial Solutions Sector.

We believe CRISNET’s advanced product portfolio will build upon Motorola’s customer and technology leadership in public safety software applications, according to Juergen Stark, Motorola corporate vice president and general manager.

“Not only is CRISNET a leader in developing sophisticated records, case and document management systems with the features public safety agencies need today, the company also brings to Motorola an impressive law enforcement product line that includes software to manage everything from personnel performance and evaluation to crime reporting,” Stark said.
